These Terms of Service ("Terms") form a binding agreement between you ("you," "your") and Prosp ("we," "us," "our"), governing your access to and use of the Prosp platform, website, and related services (together, the "Service").
By creating an account, subscribing to a paid plan, or otherwise using the Service, you agree to be bound by these Terms. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
If you do not agree to these Terms, do not access or use the Service.
Prosp provides software that helps users automate and personalize outbound outreach across LinkedIn and email, including message sequencing, AI-assisted drafting, and related workflow tools. Features, integrations, and usage limits vary by plan and may be added, changed, or removed over time as we improve the Service.
We aim to keep the Service available and reliable, but we do not guarantee uninterrupted, error-free, or continuous access. Scheduled maintenance, third-party outages (including LinkedIn, email providers, or payment processors), and factors outside our control may affect availability.
You must provide accurate, current information when creating an account and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, whether or not authorized by you.
You must be at least 18 years old and able to form a binding contract to use the Service. The Service is intended for business use; it is not directed to individuals under 18.
Notify us immediately at contact@prosp.ai if you suspect unauthorized use of your account.

We may suspend or terminate access for violations of this section, at our reasonable discretion, with notice where practicable.
5.1 Billing cycle. Subscription fees are billed in advance on a recurring four-week (28-day) cycle. The applicable fee is charged as a fixed amount per billing cycle at your current plan rate. Fees are not assessed on a per-day or per-calendar-month basis, and are not prorated by reference to the number of days in any given calendar month. As a result, the billing date may fall on a different calendar day each cycle, and some months will include more than one billing cycle.
5.2 Payment processing fee. Payments made by credit or debit card are subject to a processing fee of 2.9%, calculated on the invoice total. This fee reflects processor costs and is disclosed on your invoice at checkout and renewal. Other payment methods we offer, if any, may not carry this fee — see your account billing settings for current options.
5.3 Plan changes & taxes. Upgrades, downgrades, and seat/slot changes take effect according to the plan terms shown at the time of the change and may adjust your next invoice. Fees are exclusive of applicable taxes, which will be added where required by law.

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing cycle; you retain access until that date, and no further charges will be made afterward.
Except where required by law or expressly stated otherwise, fees already charged are non-refundable, including for partial billing cycles.
Prosp and its licensors own all right, title, and interest in the Service, including its software, design, and branding. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes.
You retain ownership of the content you create using the Service, including outreach copy, sequences, and templates. You grant us a limited license to host, process, and transmit that content solely to provide the Service to you.
Our collection and use of personal data in connection with the Service is described in our Privacy Policy, which is incorporated into these Terms by reference. Where the Service integrates with third-party platforms (such as LinkedIn or your email provider), your use of those integrations is also subject to that provider's own terms and privacy practices.
To the maximum extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that outreach performed through the Service will achieve any particular result, reply rate, or business outcome.
You agree to defend, indemnify, and hold harmless Prosp and its officers, employees, and agents from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your content, or your violation of these Terms or applicable law.
We may suspend or terminate your access to the Service if you breach these Terms, fail to pay amounts due, or if continued access creates legal, security, or operational risk. Upon termination, your right to use the Service ends, but provisions that by their nature should survive — including payment obligations, intellectual property, confidentiality, and limitation of liability — will continue to apply.
We may update these Terms from time to time. Where changes are material, we will provide notice — such as by email or in-app notification — before the change takes effect. Your continued use of the Service after the effective date of an update constitutes acceptance of the revised Terms. If you do not agree, you should stop using the Service and may cancel your subscription per Section 6.
